Terms & Conditions

Last updated: 25 September 2026 — these terms describe the basis on which Ota Consultancy & Services provides the BillMad products and services. By purchasing or using them, you accept these terms.

1. Who this applies to

These terms apply between Ota Consultancy & Services ("we", "us") and the business or individual that licenses the BillMad software or engages our services ("you"). You must be authorised to enter into these terms on behalf of your business.

2. The services

BillMad provides billing & POS, ERP, HRMS, hospitality and custom software, together with implementation, migration, training, support and annual maintenance services. What is included is always confirmed in writing, per engagement.

3. Free trial

We install the software on your hardware for a 7-day trial at no charge. You keep control of your data throughout. Trial circumstances and any extensions are agreed with our team in writing (email is fine).

4. Quotes, pricing and invoices

• Prices are quoted per site and sized to your business. A quote is valid for the period stated on it.
• An order is formed only when you confirm the written quote. Items can be amended later with agreement in writing.
• Invoices are payable within the period stated on the invoice. Subscription renewals are billed before the start of the next period.
• We never charge per-bill or per-transaction fees.

5. Licence to use the software

• The BillMad software is licensed per site (per outlet/server), not sold. Your licence is machine-bound to the registered system(s).
• You may use the software for your own business operations on the number of licensed systems stated in your order.
• You may not resell, sublicense, reverse engineer or host the software for third parties, other than where a reseller/channel agreement expressly provides otherwise.

6. Your responsibilities

• Provide accurate business details and keep licensed systems and their operating environment maintained.
• Back up your own data between our scheduled backup verification.
• Ensure you hold sufficient rights, lawful basis and consent for personal data you process in the software (e.g. customer, guest and staff data).
• Keep login credentials secure. You are responsible for activity under your accounts.

7. Intellectual property

The BillMad software, its documentation and our templates, processes and materials are our intellectual property. Your data, your business configuration and your custom reports remain yours. Custom development we create for you is licensed to you for your business use, as agreed in writing.

8. Our delivery commitments

We state a delivery time and outcome for every engagement, and we commit to it. When we miss a committed delivery, we tell you why and agree a corrected plan — at no cost to you.

9. Support and maintenance (AMC)

AMC covers software updates, backup verification and support as described on our services pages and in your order. Priority and on-site response depend on the plan you hold. We do not charge separately for reasonably requested support within the terms of your plan.

10. Liability

• We are responsible for delivering the software and services as described and promised. Nothing in these terms limits liability that cannot be limited by law.
• We are not liable for indirect or consequential loss such as loss of profit, revenue or goodwill, or for loss caused by events outside our reasonable control (including power failure at your premises, or your failure to maintain hardware, backups or connectivity).
• Our total liability arising from any engagement is limited to the fees you paid us in the 3 months preceding the claim.

11. Disclaimers

The software is delivered "as is" for the capabilities stated on this website, and is enhanced through the normal update cycle. We cannot guarantee that every third-party integration (e.g. payment gateways, delivery apps, banks) works without interruption, as those depend on the third parties.

12. Termination

Either party may end a service engagement with written notice as stated in the order. On termination we will help you export and close out your data, and your licence to use the software ends once any payable amounts are settled. Your data remains yours and we never hold it hostage.

13. Governing law

These terms are governed by the laws of India. Disputes are subject to the jurisdiction of the courts at the principal place from which our services are coordinated in India.
